The Board convened on Tuesday, September 15, 2026, at 1:43 p.m. Eastern Time. Present iat this meeting (Newark, NJ): Dr. Thomas Davies (Chairman), Dr. Michael Knight (Vice Chairman), Ms. Gina DiNardo (President & CEO), Sheila Goffe (Executive Secretary) and Theodore Phillips (Chief Financial Officer), Dr. Carmen Battaglia, Ms. Sue Goldberg, Ms. Sally Fineburg, Mr. Eduardo Fugiwara, Dr. Charles Garvin, Mr. Steven Hamblin, Mr. Dan Smyth, and Mr. Robin Stansell and Mr. Dominic Carota. Absent: Mr. Jason Hoke, Ms. Sylvia Thomas.

Copies of the July 13-14, 2026 Board Meeting minutes had previously been provided to all Directors for review. Upon a motion by Dr. Battaglia, and seconded by Ms. Fineburg, the Board VOTED (unanimously; Absent: Mr. Hoke, Ms. Thomas) to approve the July 2026 Board Meeting minutes.

EXECUTIVE SESSION There were FOUR EXECUTIVE SESSIONS: to discuss business matters. Nothing was reported out of these sessions.
